This Intellectual Property Agreement (hereinafter referred to as the "Agreement") is made and
entered on this ____ day of _____ 2020 (the “effective date”), between Hristo Kolev, Address
_____________ (hereinafter referred to as the "Tutor"), and __________, Address
_____________ (herein referred to as the “Client”).
WHEREAS, there is an employment contract between the Parties where the Tutor has been
retained as an audio engineering teacher for at the Client’s institution.
NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties
hereto, the Parties covenant and agree as follows:
1. TERM.
The initial term of this Agreement shall be for a period _____ [Days/Weeks/Months],
commencing on the Effective Date herein.
2. SCOPE.
2.1. The Parties acknowledge that due to the Covid-19 pandemic, most classes have
been turned to online classes to ensure continuation of learning. The Tutor shall provide
online learning lessons and study materials for his students at the Client’s institutions.
2.2. The Tutor shall also provide additional recorded lessons for students who do not
have access to reliable internet connection for the online classes.
2.3. The Tutor shall be responsible for all the lesson plans and the content for all his
online classes. The Client shall go over the materials and timetable before they are
published or taught by the Tutor.
3. CONFIDENTIALITY/NON-DISCLOSURE.
3.1. For the purpose of this Agreement, “Confidential Information” means any
copyrighted materials, included but not limited to the Tutor’s online classes/content,
recorded audio study materials and print works such as course notes. The Client cannot
share the Client’s copyrighted material or the concept covered under this Agreement with
a third party without the Client’s written consent.
3.2. The Client shall not share or reveal the Client’s copyrighted materials and/or the
concept of this Agreement with a third party or the public after the termination of the
work contract.
4. COPYRIGHT/INTELLECTUAL PROPERTY.
4.1. Tutor shall retain the exclusive copyrights to all the intellectual property covered
under this Agreement, including all his online classes/content, recorded audio study
materials and print works such as course notes. The Client/Client’s employees shall not
sell, reproduce, copy or pass off any of the Tutor’s teaching materials or recorded audios
or print works such as course notes as its own works without prior written consent from
the Tutor.
4.2. The Client shall not use the Tutor’s teaching materials covered under this
Agreement as teaching aids for any other tutors/teachers to teach the same course within
the institution without prior written consent from the Tutor.
5. GENERAL PROVISION, GOVERNING LAW AND JURISDICTION.
5.1. This Agreement contains the entire Agreement between the Parties relating to the
subject matter hereof and supersedes any and all prior agreements or understandings,
written or oral, between the parties related to the subject matter hereof. No modification
of this Agreement shall be valid unless made in writing and signed by both parties hereto.
5.2. This Agreement shall be governed by and construed in accordance with the laws
of the ____________ [State/Country]. Exclusive jurisdiction and venue shall be in
_____________ [State/Country].
5.3. This Agreement shall be binding upon and inure to the benefit of the Tutor and
the Client and their respective successors and assigns, provided that the Client may not
assign any of their obligations under this Agreement without the Tutor’s prior written
consent.
5.4. Each party represents and warrants to the other that such party has acted in good
faith, and agrees to continue to so act, in the negotiation, execution, delivery,
performance, and any termination of this Agreement.
IN WITNESS WHEREOF, this Agreement has been executed by the parties as of the Effective
Date.
