LABEL MANAGEMENT AGREEMENT.

This Label Management Agreement (hereinafter referred to as the “Agreement”) is made and entered on this ____ day of _____ 2020 (the “effective date”), between Next Music, Address _______________ (hereinafter referred to as the “Company”), and Sister Wisdom, Address _____________ (herein referred to as the “Artist”).

WHEREAS, the Company shall be creating music together with the Artist with the aim of the music being picked up by a music label.

NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:

The initial term of this Agreement shall be for a period Three Years, commencing on the Effective Date herein.

The Company and the Artist shall work on three projects as follows;

• 1^st album is a joint EP w/Da’T.R.U.T.H
• 2^nd is a solo EP.
• 3^rd is a solo album.

3. • The Company shall receive 50% of revenues collected from any album they produce for the Artist and 25% publishing for the term of this Agreement.
   • In the event that a deal with a label is secured, the Company shall receive 25% publishing and 15% of album revenue.

NOTE: the Parties shall negotiate the option to participate in touring revenue.

4. TERMINATION/CANCELLATION.

Parties agree that either Party can terminate the Agreement at any given time, provided that the intending Party provides the other Party a 60 Day Written Notice on the termination. The Company can cancel/terminate this Agreement at any time should the Artist violate any clause of this Agreement

5. COPYRIGHTS AND LIABITY.
   • The Artist shall own all the copyright and intellectual property rights to the music. The Company shall not lay any claim or rights to the music during this Agreement or upon the termination/cancellation of this Agreement.
   • The Company shall not be held responsible for any liability arising from the use of the music, or be held liable for any claims thereof. The Company shall not be held responsible for any copyright infringement arising from music or content on the music that the Artist approves. The Artist shall assume all the legal responsibility associated with the music produced for them by the Company.

The Parties acknowledge and agree that they have had the opportunity to have this Agreement reviewed by legal counsel and either they have done so or waived that right. The Parties agree that they are entering in this Agreement voluntarily and with full understanding of the Terms stated herein.

7. GENERAL PROVISION, GOVERNING LAW AND JURISDICTION.
   • This Agreement contains the entire Agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof. No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto.
   • This Agreement shall be governed by and construed in accordance with the laws of the ____________ [State/Country]. Exclusive jurisdiction and venue shall be in _____________ [State/Country]. If one party commences any action or proceeding against the other to enforce the terms of this Agreement, the prevailing Party will be entitled to an award against the other Party for all reasonable attorneys’ fees, costs and expenses incurred by the prevailing Party in connection with the action or proceeding and in connection with the enforcement of any judgment or order the prevailing party obtains.
   • This Agreement shall be binding upon and inure to the benefit of the Company and the Artist and their respective successors and assigns, provided that the Artist may not assign any of their obligations under this Agreement without the Company’s prior written consent.
   • Each party represents and warrants to the other that such party has acted in good faith, and agrees to continue to so act, in the negotiation, execution, delivery, performance, and any termination of this Agreement.

IN WITNESS WHEREOF, this Agreement has been executed by the parties as of the Effective Date.
