PRODUCTION AGREEMENT

BETWEEN

LAWRENCE BRECEDA proprietor of AMERICAN CANAMO LLC whose address is 9846
Hannibal Ct. Commerce City CO 80022 hereinafter referred to as PRODUCER on the first
part;
AND
TREVOR WILLIS proprietor of DESIGNER HEMP FLOWER whose address is 70 w 10 th
Ave Denver CO 80204 hereinafter referred to as CLIENT of the second part.
AND
ANTIWAN DEMARK ROGERS JR. hereinafter referred to as INVESTOR of the other part.
WHEREAS:
i. Producer is desirous of entering into a contract with Client which will automatically
become a legally binding contract.
ii. Producer and Client agree that this agreement is enforceable under any circumstance and
by executing the same they have decided to abide by the terms and conditions herein.
IN CONSIDERATION of the mutual promises and other valuable consideration
exchanged by the Parties as set forth herein, the Parties, intending to be legally bound,
HEREBY AGREE AS FOLLOWS: –
1. TERMS OF THE CONTRACT
1.1 Producer hereby agrees to produce and deliver to Client 5000 pounds of hemp flower, subject
to and in accordance with all terms, conditions, and specifications set forth herein.
1.2 It is the essence of this Agreement that all produced hemp flower supplied by Producer shall
be of applicable production standards. Producer agrees that the hemp flower shall be of quality
and content as agreed upon.
1.3 It is understood that Producer’s status under this Agreement is that of an independent
contractor and that all persons engaged by Producer in performing its obligations shall not be
deemed employees of Client.

1.4 Both parties herein are in agreement that these terms shall govern their mode of operation
from this date henceforth.
2. PRODUCER WARRANTIES
Producer represents and warrants:
A. That Producer has full right to enter into this Agreement and to perform its obligations
hereunder and will comply with all applicable Federal, State and Local Laws, ordinances and
regulations.
B. That Producer will use reasonable efforts to obtain all licenses, consents and rights necessary
and incident to the performance, reproduction with respect to production of hemp.
3. INDEMNIFICATION
3.1 Producer agrees to indemnify, defend, and hold harmless Client and its officers, employees,
agents and licensees from and against any and all claims, actions, damages, liabilities and
expenses, arising out of the breach of any obligation, warranty or representation of Producer in
this Agreement.
3.2 Contracting Client agrees to indemnify, defend, and hold harmless Producer and its officers,
employees, agents and licensees from and against any and all claims, actions, damages, liabilities
and expenses, arising out of the breach of any obligation, warranty or representation of
Contracting Client in this Agreement.
4. ASSIGNMENT
This Agreement may not be assigned by either party without the written consent of the other.
5. INVESTOR
Client hereby understands and agrees that the Producer will be funded by the above mentioned
investor who shall have a stake in this agreement henceforth.

6. NON-DISCLOSURE
Both parties shall treat all confidential information with the same degree of care as it accords to
its own confidential information.
7. INTENTION TO BE BOUND
7.1 Each of the parties hereby agrees and confirms for the purposes of the Law of Contract that it
has executed this Contract with the intention of binding itself/himself/ herself fully to the
contents hereof.

7.2 No person who is not a party to this Contract shall be made a party to this Contract or shall
have any right to rely on or enforce any term of this Contract.
8. ENTIRE CONTRACT
This Contract represents the entire contract between the parties hereto and supersedes all prior
and contemporaneous written or oral agreements and all other communications between the
parties relating to the subject matter to be rendered hereunder. Any additions, deletions or
modifications shall not be binding on either party unless accepted and approved in writing by
duly authorized representatives of both parties. In the event of any contradictory provisions
between this Contract and other documents issued in connection herewith, the terms set forth in
the body of this Contract shall prevail.

IN WITNESS WHEREOF this agreement has been duly executed by the parties hereto the day
