SERVICE CONTRACT

BETWEEN

PEERSVIEW MEDIA INC of the following address 215 25 Avenue Northeast,
Calgary, AB T2E 1Y2, Canada, PO Box 31030 BRIDGELAND, Calgary AB,
T2E9A3, hereinafter referred to as “Service Provider” which expression shall
where the context so admits include its personal representatives and assigns
on the first part; AND

THE BOARD OF GOVERNORS OF LAKELAND COLLEGE of the following address 5707 College Drive, Vermilion AB
T9X1K5, hereinafter referred to as “Client” which expression shall where the
context so admits include its personal representatives and assigns of the other
part.

WHEREAS:

i.        The Service Provider will provide a web-based platform
designed for students to manage their professional identity, engage with
peers, graduate job seekers and potential employers.

ii.      The Service Provider connects students in specific
fields and disciplines from various academic institutions and it further
enables their pathway from education to the workforce.

iii.         Service Provider will provide a link and/or page that can be added to the career center of the Client. The said link and/or page will serve as a route/access to the portal on peersview.com.

IN CONSIDERATION OF the matters described above and of the mutual
benefits and obligations set forth in this Agreement, the receipt and sufficiency
of which consideration is hereby acknowledged, the Service Provider and Client
agree as follows:

The Service Provider shall provide the following services to the students during the Term:

•     Service Provider will provide students with curating and
verifying co-op, internship, volunteer and graduate opportunities within
the Client’s province and across Canada on a daily basis.

•     Client will post an array of opportunities in its dedicated career centre that are specifically relevant to the Client’s students and their
career preferences. Service Provider’s job matching solution is designed
to closely align with these opportunities.

•     Service Provider creates career advice: on skills and knowledge required
for entry into a career path or industry.

•     Service Provider organizes virtual career fairs, to make it easier for
employers to find and hire Client’s students.

•     The Client also provides as needed resume, cover letter and Linkedin
optimization for students and alumni.

•     Service Provider provides sample resources and cover letters.

2.  COMPENSATION/PAYMENT

Both parties herein are in agreement that the payment will be made on a quarterly installment basis throughout the term of this contract, based upon the invoice from the Service Provider. In addition to that, the quarterly payments fall under the monthly payment plan which infers that the amount payable is $4,000 CAD, per annum.

3.  TERM

3.1   Service Provider and Client herein agree that this contract will be for a
period of 12 months which will be renewable subject to an agreement by both
parties.

3.2   Client understands that the Service Provider offers a subscription based
services which is renewable on an annual basis.

3.4   Client understands that this agreement shall be automatically renewed
unless the Client cancels the package within a period of three weeks.

4.     TIME OF THE ESSENCE

4.1   Time is of the essence in this contract. No extension or variation of this
contract will operate as a waiver of this provision.

4.2Client can terminate this agreement if the
website stops working and the Service Provider has been unable to rectify it within 2 weeks.

5.    NOTICE

5.1   Client can terminate this contract by providing 30 days’ notice to the Service Provider. In addition to that the termination must be agreed by both parties or based on the Service Provider not fulfilling the requirements of the contract.

5.2   The Service Provider can terminate this
contract by providing 30 days’ notice, in the event of any breach of the terms by
the Client.

5.3   Pursuant to clause 5.2, the Client will be automatically entitled to a refund
pro-rata share in the event the Service Provider terminates this contract.

6.    THIRD PARTIES

Client acknowledges that Service Provider works with third parties such as Jobscan and Sparkhire;

6.1 Client agrees and consents to third parties having
access to some personal information in order for the software to function. In

6.2 Service Provider shall be responsible for all costs and expenses associated
with providing the service.

7.   INTELLECTUAL PROPERTY

7.1  Service Provider owns all Intellectual Property Rights subsisting in its
website, services and business idea. Nothing in these Terms in any way grants
the Client any right or entitlement of whatever nature in respect of Service
Provider’s Intellectual Property Rights.

7.2  For the purposes of this paragraph, Intellectual Property Rights means
intellectual property rights conferred by statute, common law or equity in any
part of the world including (without limitation) patents, trademarks, copyright
and neighboring rights, designs, domain names, know how, circuit layouts,
moral rights, rights in get-up, inventions and other results of intellectual
activity in the industrial, commercial, scientific, literary or artistic fields,
whether registered or not, and all other rights of a like nature which are now or
may in the future subsist or be conferred in relation to them by the law in force
in any part of the world, including all renewals and extensions.

8.   GOVERNING LAW

8.1  Both Service Provider and Client hereby agree that this contract will be
subject to the laws of the province of Alberta in Canada.

9.   INDEMNITY

9.1  Client hereby agrees to indemnify and hold harmless the Service Provider
from and against any and all losses, liabilities, deficiencies, costs, damages and
expenses (including, without limitation, reasonable attorney’s fees, charges and
disbursements) incurred by the Client as a result of any inaccuracy in or
breach of the representations, warranties or covenants made by the Service
Provider herein.

9.2  Service Provider hereby agrees to indemnify and hold harmless the Client
from and against any and all losses, liabilities, deficiencies, costs, damages and
expenses (including, without limitation, reasonable attorney’s fees, charges and
disbursements) incurred by the Service Provider as a result of any inaccuracy
in or breach of the representations, warranties or covenants made by the Client
herein.

9.3 

10.1  Client and Service Provider acknowledge that the existence and the terms
of this contract and any oral or written information exchanged between the
Parties in connection with the preparation and performance this contract are
regarded as confidential information. All confidential information provided by a
party hereto shall be used by any other parties hereto solely for the purposes of
rendering services pursuant to this contract.

11.  DATA PROTECTION

11.1  Except as would not reasonably be expected to have, individually or in the
aggregate, a Material Adverse Effect, (a) the Service Provider has adopted, and
are, and since the Applicable Date have been, in compliance with, commercially
reasonable policies and procedures that apply to the Service Provider with
respect to privacy, data protection, security and the collection, storage,
disposal and use of Personal Information gathered or accessed in the course of
the operations of the Service Provider, (b) there has been no unauthorized
access or use of any Personal Information maintained, collected, stored,
disposed of or processed by or on behalf of the Service Provider, (c) the Service
Provider, and each of their privacy policies, are, and since the Applicable Date
have been, in compliance with all Data Protection Laws, including the Freedom  of Information and Protection of Privacy Act of Alberta and all contractual
commitments that they have entered into with respect to Personal Information.

12.  MISCELLANEOUS

12.1  Entire Agreement

Except for terms of agreement between students and the Service provider, this agreement contains the entire agreement and understanding among the
parties hereto with respect to the subject matter hereof, and supersedes all
prior and contemporaneous agreements, understandings, inducements and
conditions, express or implied, oral or written, of any nature whatsoever with
respect to the subject matter hereof. The express terms hereof control and
supersede any course of performance and/or usage of the trade inconsistent
with any of the terms hereof.

12.2  Independent Contractors

It is expressly agreed that the Parties shall be independent contractors and
that the relationship between the Parties shall not constitute a partnership,
joint venture or agency. Neither Party shall have the authority to make any
statements, representations or commitments of any kind, or to take any action,
which shall be binding on the other Party, without the prior consent of such
other Party.

In the event any provision or part of this Agreement is found to be invalid or
unenforceable, only that particular provision or part so found, and not the
entire Agreement, will be inoperative.

12.4  Waiver

No waiver of any provision hereof shall be effective unless made in writing and
signed by the waiving party. The failure of any party to require the performance
of any term or obligation of this Agreement, or the waiver by any party of any
breach of this Agreement, shall not prevent any subsequent enforcement of
such term or obligation or be deemed a waiver of any subsequent breach.

12.5  Confidentiality

All terms and conditions of this Agreement and any materials and/or
information provided in the course of this Agreement shall be kept confidential
by both parties herein unless disclosure is required pursuant to process of law
or unless the disclosure is to warranted third parties, and appropriate permissions are obtained from students.

12.6  Amendment

This Agreement may only be amended by a written instrument executed by
each of the parties hereto.

12.7  Insurance

The Service Provider is insured with financially sound and reputable insurance
companies not with such deductibles and covering such risks as are
customarily carried by Service Providers engaged in similar businesses.

12.8  Force Majeure

In the event either party is unable to perform its obligations under the terms of
this Agreement because of acts of God, strikes, equipment or transmission
failure or damage reasonably beyond its control, or other causes reasonably
beyond its control, such party shall not be liable for damages to the other for
any damages resulting from such failure to perform or otherwise from such
causes.

12.9  Limitation of Liability

Service Provider shall not be liable for any error of judgment or mistake of law
or for any loss suffered by the Client in connection with the performance of this
Agreement, except a loss resulting from a breach of fiduciary duty with respect
to the receipt of services or a loss resulting from willful misfeasance, bad faith
or gross negligence on the part of the Service Provider in the performance of its
